ORDER:-

         

          In the reference 1^st read above, the Government in Municipal Administration and Urban Development Department have issued orders creating Andhra Pradesh Urban Greening and Beautification Corporation under the Companies Act, 2013.

2.       In the reference 2^nd read above the Government in Municipal Administration and Urban Development Department have posted Sri.N.Chandra Mohan Reddy, IFS, as Managing Director, Andhra Pradesh Urban Greening and Beautification Corporation and the above officer has assumed charge as Managing Director, A.P. Urban Greening and Beautification Corporation on 19.02.2015.

3.       The Managing Director, A.P.Urban Greening and Beautification Corporation vide reference 3^rd read above has submitted proposals to the Government requesting for nomination of initial Chairman and Directors, shareholders, paid-up-capital etc for the new company as required under Companies Act,2013.

4.       The Government after careful examination here by approve the following with regard to nomination of initial Chairman and Directors, authorized capital, paid-up-capital, shareholders as required under the provisions of the Companies Act,2013 for the newly constituted company i.e  A.P. Urban Greening and Beautification Corporation.

a. Initial Chairman and Directors for the new Company:

          The following officers are nominated as Chairman and Directors of the  
 new company :-

         

1.    Principal Secretary, MA&UD: Chairman

2.    Commissioner & Director, Municipal Administration:  Director

3.    Managing Director, APUFIDC: Director

4.    Managing Director, APUG&BC : Director  

b.  Authorized Capital at Rs.50 lakhs divided into 5,00,000 equity shares of 10/- each.

c. Paid-up Capital  at Rs.25 lakhs divided into 2,50,000 equity shares of Rs.10/- each. The seed capital of Rs.50 crores specified in the G.O.1^st  read above will be accounted   in the books of the new company Rs.25 crores loan being given by the Government  and Rs.25 crores as State Government  grant as ordered in the said G.O.

d. Shareholders:

The following are the shareholders of the new company:-

i. Governor of Andhra Pradesh represented by

   Principal Secretary to Govt., MA&UD Dept.                 2,49,994 shares

ii. Managing Director, APUFIDC:                                  1 share

iii. Commissioner & Director, MA, A.P.                         1 share

iv. Managing Director, MEPMA, A.P.                                        1 share

v. Engineer – in –Chief, PH, A.P.                                 1 share

vi. Director, Town and Country Planning, A.P.                1 share

vii. Managing Director, APUG&BC                                 1 share

5.       The Principal Secretary to Government, MA&UD Dept., is hereby authorized to sign the incorporation papers for the new company on behalf of the Governor of Andhra Pradesh and also to represent him in all the meetings of the company on his behalf.

6.       The Government here by sanction the paid-up-capital of Rs.25,00,000/- to the proposed new company.

7.       The Managing Director, A.P.Urban Greening and Beautification Corporation is Authorized  to get the memorandum of articles of association of the company drafted according to the companies Act, 2013 with the following main objectives and file the  application for incorporation with the Registrar of  companies  along with the memorandum and articles of association of the company .

                     I.        To design, implement, take up on its own or through suitable agencies either private or public the greening and beautification of the urban vacant lands of the Government

                   II.        To protect, plan, develop, manage, economically exploit urban vacant lands, municipal parks, green zones etc., of the Government of Andhra Pradesh and also to manage them effectively by establishing parks, urban forestry and herbal plantations, play grounds etc.

                 III.        To develop, construct, erect, operate and maintain necessary infrastructure for managing the vacant urban lands of the Government.

8.       The Managing Director, A.P.Urban Greening and Beautification Corporation shall take necessary action as per the above.
